Transactional/Corporate Attorney
Rajan & Rajan, LLP is a boutique law firm located in Central New Jersey. Our firm has represented thousands of clients including Fortune 500 companies, startups, small and large business owners, investors and individuals requiring representation in various areas of the law. We have represented clients in large scale commercial transactions throughout the United States. The firm is seeking an experienced Transactional/Corporate Attorney to join our Commercial/Hospitality Department. Our prime candidate will have experience in Hospitality transactions particularly with top tier brands including Hyatt, Hilton and Marriott, Pharmaceutical transactions, Medical Day Cares, and Restaurant/Liquor License transfers. Admission to the New Jersey Bar is required, admission to the New York Bar preferred.
The candidate should have 2 to 5 years of relevant experience with the ability to perform the following:
- Draft, review and negotiate purchase and sale agreements for the acquisition of commercial properties and businesses;
- Draft, review and negotiate loan documents in connection with acquisitions of commercial properties and businesses for buyer, seller or lender;
- Review franchise agreements, management agreements, license agreements, and use and occupancy agreements;
- Form corporate entities, draft entity governance documents, and issue ownership documents;
- Review title commitments and surveys, and draft closing documents;
- Draft applications for licenses and permits including liquor licenses in the State of New Jersey and coordinate liquor license transfers in other states;
- Review and draft commercial leases for both landlord and tenants; and
- Review and draft employment agreements for employees in the medical, pharmaceutical, and restaurant businesses.
